Christen Lambert
I provide securities counsel, contract review and drafting, incorporation services, drafting of securities offerings (private placement memoranda and public offerings via an S-1 or Reg A+), SEC required reporting (Forms 10-Q, 10-K, 8-K, etc.), contract services for other law firms, and more.
Before opening my own practice, I acquired skills in diverse areas of the law, giving me insight into and experience with the realities facing both small and large corporate and nonprofit companies. I have previously worked with Michael Littman on many transactions and SEC filings, including PPMs, LLC operating agreements, corporate bylaws, reorganizations, S-1s, 10-Ks, Super 8-Ks, and more. I also spent two years working in the contracts department of a national bank, drafting vendor goods and services contracts, software licenses, and cloud services subscription contracts.
Prior to that, I interned at the University of North Carolina School of Law Community Development Clinic, assisting in forming nonprofit organizations and applying for 501(c)(3) status, and handling other nonprofit related issues. I also interned at the US Attorneys Office in St. Louis in the Civil Division, writing briefs on various civil crimes.
I believe in offering high quality, efficient legal services to my clients in a simple and user-friendly manner. In an effort to streamline legal services and meet the demands of today's internet-driven society, meetings are conducted via telephone or videoconference and documents are sent electronically, saving valuable time for my clients and reducing paper usage.
